Terms of Use

Effective date: October 2, 2026 These Terms of Use ("Terms") govern access to and use of the Modality One website, including program previews, program-update forms, product information, research-material listings, documentation, M1 Verified features, contact forms, wholesale inquiry features, and related content (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. 1. Website and Program Previews Care programs presented on the Site are previews. Clinical services are not yet available. Registering for program updates expresses interest and consent to the selected communications; it does not establish a patient-provider relationship, reserve treatment, determine medical eligibility, or guarantee a prescription or program availability. Modality One provides information concerning materials intended for legitimate laboratory research use. Materials presented through the Site are not offered for human or veterinary use, and the Site is not intended to provide medical, clinical, diagnostic, therapeutic, dosing, administration, or patient-specific advice. 2. Eligibility and Authority You must be at least 18 years old to use the Site. If you use the Site on behalf of a company, laboratory, university, institution, distributor, or other organization, you represent that you have authority to act on its behalf. 3. Research-Use Restriction Any material identified as being for laboratory research use only must be used solely for lawful research purposes by appropriately qualified persons and organizations. You may not use, market, distribute, resell, administer, or facilitate the use of such material: • for human or veterinary consumption or administration; • for diagnosis, treatment, cure, mitigation, or prevention of disease; • for clinical, therapeutic, cosmetic, food, drug, or household use; • in any manner inconsistent with applicable law, product labeling, or supplied documentation; or • in a way that falsely represents Modality One materials as approved for human or veterinary use. You are responsible for determining whether your possession, purchase, handling, storage, transfer, export, import, resale, and use of any material is lawful in your jurisdiction and appropriate for your institution or research setting. 4. No Medical or Clinical Advice Site content is provided for informational purposes, including consumer program previews and commercial-research documentation. Nothing on the Site is medical advice or a recommendation for diagnosis, treatment, prevention, dosing, administration, or clinical use. Do not use Site content as a substitute for advice from a licensed healthcare professional. 5. Product Information and Availability Product names, descriptions, specifications, strength, form, availability, images, documentation status, and other information may change. We work to keep public information accurate, but availability and specifications remain subject to confirmation. The Site currently supports inquiries and commercial discussions and does not, by itself, constitute acceptance of an order or create a binding sale. Any transaction, quotation, supply arrangement, or wholesale relationship is subject to separate confirmation, applicable terms, compliance review, availability, and any required documentation. 6. Documentation, COAs, and M1 Verified Certificates of analysis and other documentation, when made public, apply only to the specific material, lot, strength, or record identified in that document or verification record. A certificate or verification record for one lot, strength, or product must not be interpreted as applying to a different lot, strength, or product. M1 Verified is a record-access and traceability feature. A published record may reflect the status and public fields approved for that specific record. M1 Verified does not constitute governmental approval, regulatory approval, a guarantee of fitness for a particular purpose, or a representation that a material is suitable for human or veterinary use. 7. No Regulatory or Quality Claims Beyond Published Records Unless expressly stated in an approved public record, you should not infer that a material is FDA-approved, GMP-certified, pharmaceutical grade, clinically approved, approved for compounding, approved for human use, or otherwise endorsed by a government or regulatory authority. 8. Prohibited Site Conduct You may not: • use the Site for unlawful, fraudulent, deceptive, or abusive purposes; • interfere with Site security, authentication, access controls, or technical operation; • attempt to access nonpublic administrative, inventory, supplier, lot, document, or account information without authorization; • submit false identity, organization, or commercial information; • scrape, probe, overload, reverse engineer, or automate access to the Site in a manner that disrupts operation or violates applicable law; • upload or transmit malicious code; or • use Modality One names, marks, images, documentation, or content in a misleading manner. 9. Accounts and Operations Access Administrative and operations access is restricted to authorized Modality One personnel and invited users. Access credentials are personal and must be protected. We may suspend or terminate access where reasonably necessary to protect the Site, its users, or our systems. 10. Intellectual Property The Site, including its design, text, graphics, branding, logos, product presentation, verification presentation, and other original content, is owned by or licensed to Modality One and is protected by applicable intellectual-property laws. Except as expressly permitted by law or written authorization, you may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit Site content. 11. Third-Party Services and Links The Site may depend on third-party service providers for hosting, infrastructure, authentication, communications, file delivery, security, and related functions, and may link to third-party sites. We are not responsible for the content, availability, or privacy practices of unaffiliated third-party sites. 12. Disclaimers TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." MODALITY ONE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED. We do not warrant that the Site will be uninterrupted, error-free, or free of all harmful components, or that every item of information will always be current. Nothing in this section limits an express written obligation separately agreed to by Modality One. 13. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODALITY ONE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Nothing in these Terms excludes liability that cannot legally be excluded or limited. 14. Indemnification To the extent permitted by law, you agree to indemnify and hold harmless Modality One and its owners, affiliates, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, your material breach of these Terms, or your misuse of research materials contrary to applicable law or explicit research-use restrictions. 15. Suspension and Termination We may restrict, suspend, or terminate access to the Site or particular features where reasonably necessary for security, legal compliance, abuse prevention, protection of rights, or violation of these Terms. 16. Changes to the Site or Terms We may modify the Site and these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated. Your continued use of the Site after an update constitutes acceptance of the revised Terms to the extent permitted by law. 17. Severability If a provision of these Terms is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. 18. No Waiver A failure to enforce a provision of these Terms does not waive the right to enforce it later. 19. Applicable Law These Terms are subject to applicable United States federal law and other applicable laws governing the relevant transaction, conduct, or dispute.
